Terms of Service
Last updated: 1 April 2025
1. Agreement
By creating an account or using the Nexa Ed platform ("Service"), you agree to be bound by these Terms of Service. If you are using the Service on behalf of a school or organisation, you represent that you have authority to bind that entity to these terms. These terms form a contract between you and Nexium Labs, the operator of Nexa Ed.
2. Service description
Nexa Ed is a multi-tenant SaaS platform for schools. It includes AI-powered document processing, school fee collection via Paystack, student email provisioning, and developer APIs. Features, pricing, and availability may change with reasonable notice.
3. Accounts and access
- You must provide accurate information when creating an account.
- You are responsible for maintaining the security of your credentials and API keys.
- You must notify us immediately of any unauthorised access at [email protected].
- We may suspend accounts that violate these terms or that we reasonably believe are compromised.
4. Acceptable use
You may not use the Service to:
- Upload or process content that is unlawful, harmful, or violates third-party rights.
- Attempt to probe, scan, or test the vulnerability of the platform without written authorisation.
- Circumvent rate limits, authentication, or other technical controls.
- Resell or sublicense access to the Service without prior written agreement.
- Use the Service in any way that violates applicable law, including Nigerian data protection regulations (NDPR).
5. Billing and payment
Services are billed monthly based on usage. By enabling a service tier, you authorise Nexa Ed to charge your saved payment method via Paystack at the rates published on the pricing page. Fees are non-refundable except where required by law or at our sole discretion. We will give at least 30 days' notice before increasing prices for existing services.
6. Data ownership
You retain ownership of all data you upload or generate through the Service, including student records, documents, and financial data. You grant Nexium Labs a limited licence to process that data solely to deliver the Service to you. We do not use your data to train AI models or for any purpose beyond operating Nexa Ed.
7. Intellectual property
The Nexa Ed platform, including its software, design, and documentation, is owned by Nexium Labs and protected by applicable intellectual property law. Nothing in these terms transfers ownership of the platform to you. The Nexa Ed SDK packages (published under the @nexa-ed npm scope) are open source and licensed under their respective licences.
8. Availability and SLA
We target 99.5% monthly uptime for the core API and dashboard. Scheduled maintenance will be announced with at least 24 hours' notice. Enterprise plans include a formal SLA — contact us for details. We are not liable for downtime caused by third-party providers (Convex, Paystack, Clerk, etc.).
9. Limitation of liability
To the maximum extent permitted by law, Nexium Labs' total liability for any claim arising from your use of the Service is limited to the amount you paid us in the 3 months preceding the claim. We are not liable for indirect, incidental, or consequential damages, including lost data or lost revenue.
10. Termination
You may cancel your account at any time from the dashboard. We may terminate or suspend your account immediately if you breach these terms, with or without notice. Upon termination, your access ceases and we will retain your data for 30 days before permanent deletion, unless a longer retention is required by law.
11. Governing law
These terms are governed by the laws of the Federal Republic of Nigeria. Any disputes shall be resolved by the courts of Lagos State, Nigeria, unless both parties agree to alternative dispute resolution.
12. Changes to these terms
We may update these terms. When we make material changes, we will notify you by email at least 14 days before the changes take effect. Continued use of the Service after that date constitutes acceptance of the revised terms.
